Affiliate Program Agreement This Agreement contains the terms and conditions pertaining to your participation as a Douglas Publications, Inc. (DPI) Affiliate. 1. How to Enroll in the Program To begin, complete the online application via our site. You will receive a confirmation email within 3-5 business days confirming DPI's acceptance of your application. 2. How to Identify Your Site as an Affiliate The confirmation email will contain a sample banner ad along with its associated hyperlink. This hyperlink is to be the primary link between your Web site and DPI's Web site. This link provides an exclusive connection to a hosted page on the DPI Web site, and is essential for tracking commissionable sales generated from your Web site. The link may appear on your Web site in any of the following forms: Banner Ad (468 x 60 pixels), Small Button Ad (120 x 60 pixels), Large Button Ad (150 x 150 pixels), and Skyscraper Ad (120 x 600 pixels). Downloadable versions of DPI-approved ads are available in the Affiliate Section at www.douglaspublications.com. Use of text links or additional ads need to be approved by DPI prior to placement on your site. 3. Order Fulfillment and Tracking DPI will be responsible for fulfilling orders placed by customers who follow links from your Web site to DPI's Web site. This means we will handle issues pertaining to the purchases that result from the link on your site, including customer service, cancellations, returns and renewals, once a customer has made a purchase. We will track all customer impressions and sales through online reporting technology. Each DPI Affiliate is issued a unique identification number that is associated with your site. You are responsible to ensure that your site and link are properly formatted and working correctly. 4. Commissions Affiliates will receive a 10% commission of the net revenue from all database directory products purchased through the link on their site to DPI's online store. Net Revenue is defined as Gross Sales minus returns, cancellations, sales tax and shipping costs. 5. Payment Schedule Payment of commission will be made upon collection of money by the 20th of the following month. Commissions will be paid on funds collected within 90 days of the termination of this agreement, no commissions with be paid thereafter. 6. Policies and Pricing Customers who buy products through one of our affiliates are considered DPI customers. Accordingly, all DPI policies and procedures will apply to those customers. Do not include pricing or policy information in your link to DPI's online store, as prices and policies are subject to change without notice. 7. Limited License You have a nonexclusive, limited, revocable right to use our downloadable ad images and other like images only for the purpose of identifying your site as an Affiliate and to generate database directory sales. You may not modify any of our images. DPI reserves all rights for the images, our trade names and trademarks. DPI may revoke your license at any time by giving you written notice. 8. Responsibility for Your Site DPI takes no responsibility for the content or functionality of your site. Affiliate will maintain sole responsible for the development, operation, content, and maintenance of your site. 9. Relationship of Parties This Agreement does not constitute a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. The Affiliate agrees to, and herewith accepts, full and exclusive liability for payment of any and all contributions or taxes imposed by the Government of the United States and/or by the Government of any States of the United States. 10. Limitation of Liability DPI is not liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Affiliate Program. 11. Disclaimers DPI cannot guarantee that our site will be uninterrupted or error-free, and therefore will not be liable for any consequences arising from any interruptions or errors. 12. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Virginia, the county of Henrico, applicable to agreements made and to be performed in the State of Virginia. The parties hereby waive any objection to such venue and irrevocably submit to the jurisdiction of such court in any action or proceeding. 13. Terms and Conditions The term of this agreement will take effect upon DPI's acceptance of your Affiliate application, with the sending of a confirmation email, and will end when terminated by either party. Either party may terminate this agreement at any time, for any reason. DPI may choose to terminate this agreement if it is determined that your site content is inappropriate, you have breached any conditions of this agreement, or if you are sending "spam" (mass, unsolicited e-mail messages) to customers. You are only eligible to earn commissions on database directory products purchased during the term of the agreement. Payments earned through the date of termination will remain payable only if the order is not cancelled. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid. Upon one-week's notice, DPI may change, suspend or discontinue any aspect of this Agreement or the Affiliate Program, including the availability of any product. DPI also reserves the right to modify any portion of this agreement. Any notice to be given hereunder shall be in writing and shall be delivered in person or sent by registered or certified mail or by overnight delivery service, receipt requested, addressed to the party to be served at the address indicated on the Affiliate application, or such other address as either party may notify the other party in writing during the term of this agreement. If any portion of this agreement or any future modifications to this agreement are unacceptable to the Affiliate, or cause the Affiliate to no longer be in compliance with this agreement, the Affiliate or DPI may cancel the agreement. An Affiliate's continued use of the service constitutes a binding acceptance by the Affiliate.
